How do we manage third-party AI vendors safely throughout the vendor lifecycle?
End-to-end guidance for managing external AI vendor relationships from initial due diligence through ongoing monitoring, covering data handling, contractual protections, and what to do when vendors change their models.
If you only do 3 things, do this:
- 1.Activate training data opt-outs before you send any sensitive data to an external AI vendor. This is almost always available in enterprise agreements and almost never the default.
- 2.Build model change notification into contracts before you sign. Vendors release model updates frequently. You won't know unless you ask, and you need to know because updates can break your compliance posture.
- 3.Treat a vendor who can't provide a model card as a risk signal. If they can't explain how their model was built and tested, you can't evaluate whether it meets your standards.

Why AI vendor management is different
Standard vendor management evaluates reliability, security, and compliance with data protection requirements. AI vendors require additional scrutiny because you are not just evaluating software — you are evaluating a system that makes or influences decisions, and you are potentially liable for those decisions regardless of whether the model is yours. The EU AI Act and emerging US frameworks place obligations on deployers, not just developers.
Two characteristics of AI vendors create specific management challenges that traditional vendor management does not handle: models change without notice, and vendors often have limited visibility into their own model's behavior. A model that was tested and approved at procurement may behave differently six months later. A vendor who cannot tell you how their model was trained for bias cannot give you the assurance you need for a high-risk deployment.
The five contractual clauses that matter
Training data opt-out: confirm that your data will not be used to train or fine-tune the vendor's shared models. This is almost always available in enterprise agreements and is often the default at the enterprise tier, but always verify it explicitly and document the confirmation.
Output ownership: confirm that outputs generated using the vendor's service belong to you, and that the vendor does not claim any license to those outputs. Vendor positions vary, and some platforms claim broad licenses to outputs by default. This matters for IP protection and for contractual obligations to clients.
Model change notification: require the vendor to notify you before material changes to their models, with sufficient lead time for you to evaluate the change. "Material" should be defined to include changes that could affect accuracy, bias characteristics, or compliance posture.
Indemnification: negotiate coverage for copyright infringement claims arising from the model's training data and for liability arising from demonstrably incorrect or harmful model outputs. The scope of available indemnification varies significantly by vendor and by the negotiating leverage you bring.
Audit rights: reserve the right to request documentation of model testing, bias evaluation, and security assessments. You may never use this right, but its existence changes the vendor's accountability calculus.
Ongoing monitoring after onboarding
Vendor management does not end at contract signing. High-risk AI vendors should be reviewed on an annual basis at minimum, with a structured review that covers: has the model materially changed since the last review, are training data opt-outs still in effect, has the vendor's compliance posture changed, and have there been any incidents or regulatory actions involving the vendor?
Model updates require particular attention. When a vendor notifies you of a material model update — or when you detect behavioral changes without a notification — treat it as a trigger for re-evaluation. Re-run the relevant portions of your initial assessment: does the updated model still meet your bias testing standards, does it still perform within acceptable accuracy ranges, does it still comply with the regulatory requirements that apply to your deployment?
