Public Benefit Corporation

A public benefit corporation is a for-profit company whose charter legally requires its directors to weigh a stated social or environmental purpose alongside shareholder returns. Several frontier AI developers, including Anthropic, use this structure, so their governance choices can be challenged in court by stakeholders who say the company is not living up to its mission. For compliance and legal teams, the form matters because it changes fiduciary duties, reporting obligations, and how a vendor's stated commitments on safety or responsible use may be enforced.
